Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or the "Customer") and SeatNow ("SeatNow," "we," "us," or "our"), governing your access to and use of the SeatNow website, applications, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated here by reference. If you are using the Service on behalf of a business or other organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of the service

SeatNow is a restaurant waitlist management tool. It lets staff add and manage guests in a live queue, send "table ready" notifications, display a lobby board, and keep a history of returning customers. Some features depend on third-party services (for example, payment processing and hosting) described below. We may add, change, or remove features over time.

3. Accounts and eligibility

To use most of the Service you must create an account. You agree to provide accurate information, keep your login credentials secure, and accept responsibility for all activity that occurs under your account. You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. Notify us promptly at support@seatnow.app if you suspect any unauthorized use of your account.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Send unsolicited or unlawful messages, or contact guests for purposes they have not consented to;
  • Upload content that is infringing, defamatory, harmful, or that you do not have the right to share;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • Interfere with, disrupt, or place undue load on the Service or its infrastructure;
  • Reverse engineer, scrape, or resell the Service except as permitted by law.

We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to other users, the Service, or third parties.

5. Subscriptions, billing, and payments

SeatNow offers a free plan and paid "Pro" plans. Pro is available on a monthly ($9/month) or yearly ($99/year) basis, as described on our pricing page. Prices are subject to change with notice for future billing periods.

Paid subscriptions are processed by a third-party payment provider. By subscribing, you authorize us (through that provider) to charge your payment method on a recurring basis until you cancel. You are responsible for any applicable taxes. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.

6. Cancellation and refunds

You may cancel a paid subscription at any time through the billing portal accessible from your account settings. Cancellation takes effect at the end of your current billing period, and you retain Pro access until that date. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods. You may stop using the free plan at any time.

7. Customer and guest data; your responsibilities

The Service lets you enter and store information about your guests, such as names, phone numbers, and party details ("Guest Data"). As between you and SeatNow, you are the controller of Guest Data and we process it on your behalf to provide the Service. You are responsible for:

  • Collecting and using Guest Data lawfully, including obtaining any required consent to contact guests;
  • Providing your guests with any notices required by applicable privacy and messaging laws;
  • Ensuring you have the right to enter the Guest Data you submit.

8. Intellectual property

The Service, including its software, design, and branding, is owned by SeatNow and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of the content and data you submit; you grant us the rights necessary to host and process it to operate the Service.

9. Third-party services

The Service relies on third-party providers for core infrastructure (database, authentication, and realtime), payment processing, and hosting. Your use of the Service may be subject to those providers' terms, and we are not responsible for their acts or omissions. Links to third-party sites are provided for convenience and are not endorsements.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that notifications will always be delivered on time. You use the Service at your own risk.

11. Limitation of liability

To the maximum extent permitted by law, SeatNow and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve (12) months before the claim or USD $100.

12. Indemnification

You agree to indemnify and hold harmless SeatNow from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your Guest Data, or your violation of these Terms or any applicable law.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
